These Terms of Service constitute a legally binding agreement between you and Anqing Chun Ji Trading Co., Ltd. governing your use of our website, computer systems design services, and all related IT consulting and support offerings.

The term Company refers to Anqing Chun Ji Trading Co., Ltd., a company registered in Anqing, China, with its registered address at Room 302, Building 2, Northern Area, Jingtai Nanyuan, Yingjiang District, Anqing - 246000, China (CN). Developer refers to Chun Ji, the lead technical officer responsible for the development and operation of this website and related systems.

Services means all computer systems design, IT consulting, cloud infrastructure engineering, cybersecurity engineering, network design, data engineering, managed IT operations, and any other professional technical services offered by the Company. User, you, and your refer to any individual or entity that accesses our website or engages our Services. Website refers to www.chunji.autos and all subdomains, subdirectories, and associated web properties owned or operated by the Company.

Anqing Chun Ji Trading Co., Ltd. provides professional computer systems design and related IT services operating within the industry classifications of Computer Systems Design and Related Services and Professional, Scientific, and Technical Services. Our core competencies include but are not limited to computer integrated systems design, distributed systems architecture, cloud infrastructure engineering, cybersecurity architecture, enterprise network design, data engineering and analytics platform integration, managed IT operations and monitoring, and technical consulting and advisory services.

The specific scope, deliverables, timelines, and fees for any Services engagement shall be defined in a separate written statement of work, service agreement, or project proposal executed by both parties. These Terms of Service apply to all engagements unless explicitly modified by a signed writing between the parties.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, provided that such changes shall not affect Services already contracted and paid for without providing a reasonable transition period or alternative arrangement.

User Obligations and Conduct

As a user of our Website and Services, you agree to conduct yourself in a lawful and professional manner. You shall not use the Website or Services for any purpose that is illegal under applicable laws, including Chinese law and the laws of the jurisdiction from which you access our Services. The name Chun Ji, the CJ logo mark, and all associated branding are trademarks of the Company.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and view the content on our Website for personal and informational purposes only. With respect to custom work products, code, system designs, and technical deliverables created by the Company as part of a Services engagement, ownership and licensing terms shall be defined in the applicable service agreement. Unless otherwise agreed in writing, the Company retains ownership of all methodologies, tools, frameworks, and pre-existing intellectual property used in the delivery of Services.

Confidentiality

In the course of providing Services, each party may disclose to the other certain confidential and proprietary information. Confidential Information means any information, technical data, or know-how disclosed by one party to the other that is designated as confidential or that would reasonably be understood to be confidential given the nature of the information and circumstances of disclosure.

Each party agrees to protect the Confidential Information of the other party using the same degree of care that it uses to protect its own confidential information of like importance, but in no event less than reasonable care. Neither party shall use the Confidential Information of the other party for any purpose other than to perform its obligations under the applicable service agreement, nor disclose such Confidential Information to any third party without the prior written consent of the disclosing party.

The obligations of confidentiality shall survive the termination of any service agreement for a period of five years or for such longer period as may be required by applicable law. These obligations shall not apply to information that is or becomes publicly available through no fault of the receiving party, was already in the lawful possession of the receiving party, or is independently developed without reference to the Confidential Information.

Limitation of Liability

To the fullest extent permitted by applicable law, Anqing Chun Ji Trading Co., Ltd., its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, goodwill, use, data, or other intangible losses, arising out of or in connection with your use of, or inability to use, the Website or Services.

The Company makes no warranties, express or implied, regarding the Website or Services, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the operation of the Website or Services will be uninterrupted, error-free, or completely secure. The Website and Services are provided on an as is and as available basis.

The total aggregate liability of the Company for any claims arising under or related to these Terms of Service or any service agreement shall not exceed the total fees actually paid by you to the Company during the twelve months immediately preceding the event giving rise to the claim. This limitation applies regardless of the legal theory on which the claim is based, whether contract, tort, negligence, strict liability, or otherwise.

Indemnification

You agree to indemnify, defend, and hold harmless Anqing Chun Ji Trading Co., Ltd., its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees and court costs, arising out of or in connection with your breach of these Terms of Service, your violation of any applicable law or regulation, your infringement or misappropriation of any intellectual property right, or any negligent, fraudulent, or willful misconduct by you or any person acting on your behalf.

The Company reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such event, you agree to cooperate fully with the Company in asserting any available defenses and shall not settle any matter without the prior written consent of the Company.

Payment Terms

Fees for Services shall be as set forth in the applicable service agreement, statement of work, or project proposal. Unless otherwise stated, all fees are quoted and payable in United States Dollars (USD) and are exclusive of any applicable taxes, duties, or levies, which shall be the responsibility of the client.

Payment terms, including invoicing schedules, due dates, and accepted payment methods, shall be specified in the applicable service agreement. Late payments may incur interest at the rate of 1.5 percent per month or the maximum rate permitted by law, whichever is lower. The Company reserves the right to suspend Services if payment is not received within the agreed timeframe after written notice of non-payment.

All fees paid for Services are non-refundable unless otherwise expressly stated in the applicable service agreement. In the event of early termination by the client without cause, the client shall remain liable for all fees accrued through the effective date of termination, plus any early termination fees specified in the service agreement.

Term and Termination

These Terms of Service remain in effect for as long as you access or use our Website or Services. The term of any specific Services engagement shall be defined in the applicable service agreement. Either party may terminate a service agreement in accordance with the termination provisions specified therein.

The Company may terminate or suspend your access to the Website or Services immediately, without prior notice or liability, if you breach any provision of these Terms of Service, if we are required to do so by law, or if we decide to discontinue the Website or any portion of the Services. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

Upon termination of a Services engagement, each party shall return or destroy all Confidential Information of the other party in its possession, subject to any retention requirements under applicable law or regulatory obligations.

Our Website may contain links to third-party websites, applications, or services that are not owned or controlled by the Company. We do not endorse, warrant, or assume any responsibility for the content, privacy practices, or reliability of any third-party websites or services. If you engage any third-party services in connection with our Services, including hosting providers, domain registrars, or software vendors recommended by us, you acknowledge that the Company is not responsible for the acts or omissions of such third parties. Any disputes or issues arising from your relationship with a third-party provider shall be resolved directly between you and that provider.

Force Majeure

Neither party shall be liable for any failure or delay in the performance of its obligations under these Terms of Service or any service agreement to the extent that such failure or delay is caused by circumstances beyond the reasonable control of the affected party, including acts of God, natural disasters, fire, flood, earthquake, storm, epidemic, pandemic, war, terrorism, civil unrest, labor strikes, internet or telecommunications outages, government actions or regulations, or any other event of force majeure.

The affected party shall notify the other party promptly of the occurrence of a force majeure event and shall use commercially reasonable efforts to mitigate the impact and resume performance as soon as practicable. If a force majeure event continues for more than thirty consecutive days, either party may terminate the affected Services engagement without liability.

Governing Law and Dispute Resolution

These Terms of Service and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Peoples Republic of China, without giving effect to any conflict of law principles that would require the application of the laws of a different jurisdiction.

Any dispute, controversy, or claim arising out of or relating to these Terms of Service, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiation within thirty days, it shall be submitted to binding arbitration in Anqing, China, in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC). The arbitration shall be conducted in the English language, and the arbitral award shall be final and binding on both parties.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent the infringement or misappropriation of its intellectual property rights or the breach of confidentiality obligations.

Severability and Waiver

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from the remaining provisions. The validity, legality, and enforceability of the remaining provisions shall not be affected in any way.

The failure of the Company to enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. A waiver by the Company of any breach of these Terms shall not be deemed a waiver of any subsequent breach. No waiver shall be effective unless made in writing and signed by an authorized representative of the Company.

Entire Agreement and Contact

These Terms of Service, together with our Privacy Policy and any applicable service agreement, constitute the entire agreement between you and Anqing Chun Ji Trading Co., Ltd. concerning your use of the Website and Services, and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the subject matter hereof.

Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party. The parties acknowledge that they have each had the opportunity to review these Terms and to consult with legal counsel of their own choosing.
